That it be confirmed that the following persons are currently directors of Guelph Junction Railway Limited: Tara Baker, Director and Chair; Trevor Lee, Director. That, in addition to the current directors, the following person be elected as a director of Guelph Junction Railway Limited as of February 11, 2025, to hold office for a term of up to three (3) years, subject to earlier resignation, removal, or election of their successor: Jayne Holmes, Director. That it be confirmed that the following persons are currently officers of Guelph Junction Railway Limited: Tara Baker, Chief Executive Officer; Trevor Lee, Chief Financial Officer / Treasurer. That, in addition to the current officers, the following person be appointed as an officer of Guelph Junction Railway Limited as of February 11, 2025 to hold office for the length of time to be determined by the directors, at their discretion, subject to earlier resignation or removal: Jennifer Charles, Corporate Secretary / Legal.
